Thank you for selecting the Services offered by Real Ez Biz. and/or its subsidiaries and affiliates (referred to as “Real Ez Biz”, “we”, “our”, or “us”). Review these Terms of Service (“Agreement”) thoroughly. This Agreement is a legal agreement between you and Real Ez Biz. By clicking “I Agree,” indicating acceptance electronically, or by installing, accessing or using the Services, you agree to this Agreement. If you do not agree to this Agreement, then you may not use the Services.

-Real EZ Biz, realezbiz.com, and other Real EZ Biz graphics, logos, headers, designs, button icons, scripts and service names may not be used in affiliation, or connection with any other product or service without the prior written consent of Real EZ Biz.

-Protection against unauthorized use, advertisement and third-party usage of Real EZ Biz brand, logo and program. The Services are for your own use only. You may not resell, lease or provide them in any other way to anyone else, except as expressly permitted through the Application.

-There is no contract, user can terminate account/subscription at any time with no extra fee, however termination of account/subscription needs to be done prior to the next billing cycle (minimum of 5 days prior). If termination of account/subscription is done in the middle of the billing cycle, there is no refund for any period the customer has not used the account.

-User has the right to terminate account/subscription at any moment and prior client data will be saved for 3 months or 90 days then all client data will be deleted from the system without further being able to restore previously entered client data.

-All packages have a limited amount of data usage; extra data can be bought at the customers need.

-In Basic package for data transfers/backup a $1,500 payment is required. Real EZ Biz is not responsible for backing up data that has been inputted into the system, the payment must first be deposited before backup can be initiated.

-Any additionally purchased cloud data is to be used exclusively for Real EZ Biz. Additional purchased cloud data is still subject to deletion after the user/subscriber has terminated the account and does not reactivate after 3 months or 90 days.

-User/subscriber is responsible for tracking the amount of SMS and cloud data left in billing cycle. Information on SMS and cloud data usage can only be accessed via desktop version.

-In the event of application malfunction, we are not liable to a lawsuit. Real EZ Biz does not warrant that the use of the Service will be uninterrupted or error free. Among other things, the operation and availability of the systems used for accessing the Service, including public telephone services, computer networks and the Internet, can be unpredictable and may from time to time interfere with or prevent access to the Services. Real EZ Biz is not in any way responsible for any such interference or prevention of Your access or use of the Services.

-Authorization to display offers for items, tools, uniforms, etc, based on the customers services. Real EZ Biz may run advertisements and promotions from third parties based on the type of Service you select.

– You give us your consent to send offers for third-party products and services that we think may be of interest to you.

-Real EZ Biz requires that all mobile devices (IOS or Android) are updated to its most recent update available for the user to have full access to all the program features and that all features work to its full potential. EZ Biz is not responsible for updating users’ mobile devices, it is up to the users to maintain their device updated. Any features that are offered in the program and malfunction due to lack of updated mobile devices are nonrefundable.

-The Service is billed in advance on a monthly basis, depending on the pricing option selected, and is NON-REFUNDABLE, unless otherwise provided by Real EZ Biz. There will be no refunds or credits for partial months of service, upgrade or downgrade refunds, or refunds for months unused with an open account.

-When you access or use our Services, we may automatically collect certain information about you and how you use the Services, this includes features that give access to your camera and contacts if you grant permission in your device settings.

-All client data stored in the system is strictly confidential, illegal use and abuse of private client data will result in termination of subscription at EZ Biz’s discretion in the event of privacy breach between user/subscriber and the user/subscriber’s client.

-We want to be clear about what client information we collect and how we use it to deliver our Services to you: improve your financial life, operate your business, and help make our Services useful, more intelligent, and work better for you.

-We do not sell or share your Personal Information with third parties for their own commercial uses without your consent. By checking the “I agree” box, you the user/subscriber are giving your consent and is aware that Real Ez Biz owns your data and information you input in the software and app. Therefore, giving Real Ez Biz ownership of any data put in the system and allowing Real Ez Biz to sell data and information to third parties at Real Ez Biz’s discretion.

-We may share your information, including Personal Information and Usage Data, with third party service providers who perform various functions to enable us to provide our Services and help us operate our business, such as website design, sending email communications, fraud detection and prevention, customer care, or performing analytics. Our contracts with these third parties require them to maintain the confidentiality of the Personal Information we provide to them, only act on our behalf and under our instructions, and not use Personal Information for purposes other than the product or service they’re providing to us or on our behalf.

– We may share your information with courts, law enforcement agencies, or other government bodies when we have a good faith belief we’re required or permitted to do so by law, including to meet national security or law enforcement requirements, to protect our company, or to respond to a court order, subpoena, search warrant, or other law enforcement request.

-This software/application allows multiple users to operate the system however, you acknowledge and agree that, subject to any applicable written agreement between the Subscriber and the additional users, or any other applicable laws:
1. the Subscriber determines who is an additional user and what level of user role access to the relevant organization and Service that additional user has;
2. the Subscriber is responsible for all additional users’ use of the Service;
3. the Subscriber controls each additional user’s level of access to the relevant organization and Service at all times and can revoke or change an additional user’s access, or level of access, at any time and for any reason, in which case that person or entity will cease to be an additional user or shall have that different level of access, as the case may be;
4. if there is any dispute between a Subscriber and an additional user regarding access to any organization or Service, the Subscriber shall decide what access or level of access to the relevant Data or Service that additional user shall have, if any.

Other terms and conditions:

• Your Subscription Period for Orders you place independently via your Account are month-to-month and automatically renew until cancelled. Changes to the Real EZ Biz terms and conditions, including Real EZ Biz Terms, will be posted online and we may provide you with separate notice of any material changes, but they will apply to you in the next period of your Subscription Period following any such changes if you continue to use Real EZ Biz thereafter.
• Terminations will be effective upon the expiration of your current Subscription Period. If you terminate less than 48 hours before the end of your Subscription Period, we may not be able to stop your automatic payment for the next Subscription Period. However, in the event you properly submit a Cancellation or Termination request but are still charged for an additional Subscription Period, we will refund such charges upon request. To avoid this situation, please submit Termination requests more than 48 hours prior to the end of your Subscription Period. Except as expressly provided herein, no refunds will be provided. We reserve the right to terminate or suspend your account for non-payment at any time. If your credit card is declined, we provide you seven calendar days to remedy this issue and provide proper payment. Thereafter, we may suspend your Account and your access to any and all Real EZ Biz services and Solutions until payment is received, and you remain responsible for all accrued charges. We may cancel all or any Real EZ Biz feature or Solution at any time and for any reason (even if previously approved) and we have the right to terminate your Account if you violate the Agreement, or for any or no reason, at any time. If your Account is terminated, you agree: (a) to continue to be bound by these terms, as applicable, (b) to immediately stop accessing or using Real EZ Biz, (c) that your License immediately ends, and (d) that we reserve the right (but have no obligation) to delete all of your information and Account data stored on our servers. You acknowledge and agree, that we are not liable to you or any third party for termination or suspension of access to your Account or for deletion of your information or Account data.
• RECURRING AUTO PAY: If you provide us with a credit card, debit card, bank account number or PayPal account, you authorize us to charge the card or account automatically at the start of each billing period for the amount of your month recurring charges for Real EZ Biz, plus applicable taxes, until you notify us to cancel automatically recurring payments. It is your responsibility to keep your payment method information current, and you agree that your authorization for recurring payments will continue for any replacement payment information provided by you or the financial institution that provides your payment card, to the extent you have consented to have your financial institution auto-update your payment card information for recurring payees. Fees are due monthly in advance unless otherwise indicated on your Order. You agree to pay all charges in full by the billing due date. You may not withhold any payment for any reason. We may apply payments from you, or monies owed to you, toward amounts owed under the Agreement or any other amounts you owe us.
• We are not responsible for any claim that arises between your customers and you related to use of Real EZ Biz. If you experience issues with your use of Real EZ Biz, you agree that we may, at our discretion, provide free services, but under no circumstances will refunds be provided. We will have no liability with respect to any services or features provided to you at no cost.
• You agree to defend, indemnify and hold us and our agents, representatives, employees, and affiliates harmless from any liability or costs, including attorneys’ fees and expenses, resulting from: (a) any breach of a Client Representation; (b) your failure to comply with all Laws; (c) any act, omission or fault of you or your employees, agents or contractors in connection with your use of Real EZ Biz; (d) any claim that the Client Content or other information provided by you violates any applicable Law or infringes on any third party patent, copyright, trademark, trade secret or other intellectual property or proprietary right; (e) any communication you send through Real EZ Biz or your collection or use of any information obtained through Real EZ Biz; (f) any transactions initiated through Real EZ Biz and any payment processing services. You will continue to be obligated by this Section even after the termination of the Agreement.

Privacy policy:

-1.The program may automatically collect certain usage information when you access our Services (“Usage Data”), IP addresses, log files, unique device identifiers, pages viewed, browser type, any links you click on to leave or interact with our Services, and other usage information collected from cookies and other tracking technologies. For example, we collect IP addresses to track and aggregate non-personal information, such as using IP addresses to allow the program to send ETA to clients, rearrange schedules based on google geolocation, etc. We also collect IP addresses from users when they log into the Services as part of our ETA features.  We may also, when you enable location-based Services, collect Global Positioning System (GPS) location data and/or motion data.

-IP address location is used in pictures and signature collection.

-You agree that Real EZ Biz may, in its sole discretion, collect and use Usage Data to support, maintain, and improve Real EZ Biz, and to enforce EZ Biz rights under the Terms.

2. Usage policy: Client agrees to the following:

• Not use, or misuse, the Application or Services in any way which may impair the functionality of the Application, or other systems used to deliver the Services or impair the ability of any other user to use the Services or Application;
• not attempt to gain unauthorized access to any materials other than those to which you have been given express permission to access or to the computer system on which the Application or Services are hosted;
• not attempt to modify, copy, adapt, reproduce, disassemble, decompile or reverse engineer any computer programs used to deliver the Services except as is strictly necessary to use either of them for normal operation.
• The users agree not to publish, post, upload, distribute, provide or enter any material or information that is illegal, unlawful or can be regarded as fraudulent, libelous, malicious, threatening, offensive, profane, obscene, fanning ethnic or racial tensions, immoral or any such information which any reasonable person would consider objectionable on grounds of good conscience.
• No user shall be permitted to upload material into Real EZ Biz that he or she ought to know infringes on the intellectual property of others, or upload material that places unnecessary load as to affect the performance of our websites, systems and equipment. You may not use Real EZ Biz and the Services in a manner which could block access to, impair, damage or otherwise disable Real EZ Biz or any of our servers. You may not attempt to gain unauthorized access to Wave or to any other user’s accounts, computer systems or networks through password mining, keystroke logging, hacking or any other means. You will not upload any files that contain viruses, Trojan horses, malware, spyware, worms, corrupted files or any other material or software that may damage the operation of another computer. Any and all materials uploaded are subject to applicable laws.
• You are responsible for securely managing your password(s) for the Services and to contact Real EZ Biz if you become aware of any unauthorized access to your account. The Services may periodically be updated with tools, utilities, improvements, third party applications, or general updates to improve the Services. You agree to receive these updates.
• Usage of certain features are limited, these features include ETA texts, pictures taken (memory use)…subscribers are aware of amount left for the billing period.

Disclaimer:

-YOUR USE OF THE SERVICES, SOFTWARE, AND CONTENT IS ENTIRELY AT YOUR OWN RISK. EXCEPT AS DESCRIBED IN THIS AGREEMENT, THE SERVICES ARE PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REAL EZ BIZ, ITS AFFILIATES, AND ITS AND THEIR THIRD PARTY PROVIDERS, LICENSORS, DISTRIBUTORS OR SUPPLIERS (COLLECTIVELY, “SUPPLIERS”) DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY THAT THE SERVICES ARE FIT FOR A PARTICULAR PURPOSE, TITLE, MERCHANTABILITY, DATA LOSS, NON-INTERFERENCE WITH OR NON-INFRINGEMENT OF ANY INTELLECTUAL PROPERTY RIGHTS, OR THE ACCURACY, RELIABILITY, QUALITY OF CONTENT IN OR LINKED TO THE SERVICES. REAL EZ BIZ AND ITS AFFILIATES AND SUPPLIERS DO NOT WARRANT THAT THE SERVICES ARE SECURE, FREE FROM BUGS, VIRUSES, INTERRUPTIONS, ERRORS, THEFT OR DESTRUCTION. IF THE EXCLUSIONS FOR IMPLIED WARRANTIES DO NOT APPLY TO YOU, ANY IMPLIED WARRANTIES ARE LIMITED TO 60 DAYS FROM THE DATE OF PURCHASE OR DELIVERY OF THE SERVICES, WHICHEVER IS SOONER.
